Freshworks’ valuation could crest $10B in upcoming IPO

Earlier today, TechCrunch examined the new IPO price range for Toast. The U.S. software-and-fintech company moved its valuation materially higher in anticipation of pricing tomorrow after the bell and trading on Wednesday. It was not alone in doing so.

Freshworks is also targeting a higher IPO price range, it disclosed today in a fresh SEC filing. The customer service-focused software firm now expects to charge between $32 and $34 per share in its debut, up from the $28 to $32 per-share range that it initially disclosed.

Doing some back-of-the-envelope math, Freshworks’ IPO valuation could just pass the $10 billion mark, calculated on a fully diluted basis. Its simple IPO valuations, while rising, are lower than that figure.

Mathing that out, Freshworks expects to have 284,283,200 shares outstanding when public, inclusive of its underwriters’ option, but not inclusive of vested shares present in RSUs or options. At its new IPO price range, Freshworks would be worth between $9.1 billion and $9.7 billion.

Are founders in fundraising mode short-sighted when it comes to working with Chinese venture funds?

Runa Capital’s Asia business development manager Denis Kalinin studied data from iTjuzi, a database of Chinese venture capitalists, and found:

“…Chinese funds invested around $250 billion in 2020 (three times higher than the figure reported in Crunchbase). This figure puts Chinese VC investments only 30% lower than investments by U.S. funds, but three times that of U.K. funds and 12.5 times more than German funds.”

The pandemic, geopolitical tensions and other factors led many Chinese venture funds to pare back their international investments, but that’s largely “because during COVID, China’s economy recovered much faster than other countries’,” writes Kalinin.

His analysis covers multiple angles: Chinese investments in Europe are catching up with those in Asia and the United States, half of China’s top cross-border investors are CVCs, and investors are particularly interested in fintech, deep tech and digital health at the moment.

“Chinese investors can bring value to foreign startups, but you need to study their expertise and how it can be useful for you.”

What to make of Freshworks’ first IPO price range

Two major private tech companies announced IPO price ranges this morning, with Toast targeting a market value of nearly $18 billion at the top end of its range and Freshworks looking to price its equity between $28 and $32 per share. TechCrunch calculates that the company would be worth around $8.9 billion at $32 per share, not employing a fully diluted share count.

Inclusive of shares represented by fully vested options and the like, Freshworks’ valuation could reach $9.6 billion, Renaissance Capital reports.

Unlike Toast, with a revenue mix including four distinct products, Freshworks is a more straightforward software company. That means we can do much more interesting work to understand its valuation. So, this morning, let’s unpack how Freshworks is considering valuing itself in its IPO at its present range, look at some market comps, and come to a conclusion regarding whether or not we expect the unicorn to raise its valuation before it floats.

Lies, damned lies and revenue multiples

As a refresher, in the first half of 2021 (Q1 and Q2), Freshworks posted revenues of $168.9 million. That annualizes to $337.9 million, thanks to numerical rounding.

At a valuation of $9.6 billion — recall that simple IPO valuations for the company and lower share-price points from its IPO range generate lower valuations and therefore more conservative multiples than what we’ll be discussing here — Freshworks would be worth 28.4x its current revenue run rate, set during H1 2021.

Freshworks aims for nearly $9 billion valuation in US IPO

Freshworks disclosed on Monday that it is aiming for a valuation of up to $9 billion in its US initial public offering in which it is hoping to raise over $800 million.

The California-based firm, which started its journey in India and rivals Salesforce, said it plans to sell 28.5 million shares at a price range of $28 to $32. If the firm is able to sell its shares at the top range, it will raise $912 million. Freshworks had originally filed paperworks for its IPO in late August, but hadn’t disclosed several figures.

The 11-year-old firm was last valued at $3.5 billion in a financing round in November 2019. The startup considered raising a pre-IPO round earlier this year at a valuation of over $5 billion but decided against it, a person familiar with the matter told TechCrunch.

Freshworks, which counts Accel, Sequoia Capital India, Tiger Global, and CapitalG among its existing investors, develops and offers a variety of business software tools, from CRM to help-desk software. In recent years, it has built enterprise SaaS platform to give customers a set of integrated business tools and aggressively pursued expansion in broadening its products offering.

The startup, which has applied to list its shares on Nasdaq under the symbol FRSH, serves over 50,000 customers and its revenue in the six months of the year grew to $169 million, up from $11 million during the same period last year. At the same time, its net loss dropped to $9.8 million from $57 million a year ago.

“First, based on industry research from International Data Corporation (IDC), we believe we have a large addressable market of approximately $120 billion,” the firm said in an updated S-1 filing on Monday.

“Second, based on our internal data and analysis, we estimate the annual potential market opportunity for our products to be $77 billion. […] We expect our estimated market opportunity will continue to expand as customers onboard more or expand usage of our products, increasing the weighted average ARR per customer for use of our products.”

TechCrunch recently spoke with Freshworks co-founder and chief executive Girish Mathrubootham about the business. Mathrubootham is one of the most respected entrepreneurs in India. Along with three friends, Mathrubootham launched an $85 million venture fund in late July this year to back early-stage SaaS startups.

India’s path to SaaS leadership is clear, but challenges remain

Software as a service is one of the most important sectors in tech today. While its transformative potential was quite clear before the pandemic, the sudden pivot to distributed workforces caused interest in SaaS products to skyrocket as medium and large enterprises embraced digital and remote sales processes, significantly expanding their utility.

This phenomenon is global, but India in particular has the opportunity to take its SaaS momentum to the next level. The Indian SaaS industry is projected to generate revenue of $50 billion to $70 billion and win 4%-6% of the global SaaS market by 2030, creating as much as $1 trillion in value, according to a report by SaaSBOOMi and McKinsey.

There are certain important long-term trends that are fueling this expansion.

The rise of Indian SaaS unicorns

The Indian SaaS community has seen a flurry of innovation and success. Entrepreneurs in India have founded about a thousand funded SaaS companies in the last few years, doubling the rate from five years ago and creating several unicorns in the process. Together, these companies generate $2 billion to $3 billion in total revenues and represent approximately 1% of the global SaaS market, according to SaaSBOOMi and McKinsey.

These firms are diverse in terms of the clients they serve and the problems they solve, but several garnered global attention during the pandemic by enabling flexibility for newly remote workers. Zoho helped streamline this pivot by providing sales teams with apps for collateral, videos and demos; Freshworks offered businesses a seamless customer experience platform, and Eka extended its cloud platform to unify workflows from procurement to payments for the CFO office.

Other SaaS firms stayed busy in other ways. Over the course of the pandemic, 10 new unicorns emerged: Postman, Zenoti, Innovacer, Highradius, Chargebee and Browserstack, Mindtickle, Byju, UpGrad and Unacademy. There were also several instances of substantial venture funding, including a $150 million deal for Postman, bringing the total amount raised by the Indian SaaS community in 2020 to around $1.5 billion, four times the investment in 2018.

India’s path to leadership

While the Indian SaaS community has made admirable progress in recent years, there are several key growth drivers that could lead to as much as $1 trillion in revenue by 2030. They include:

The global pivot to digital go-to-market

High-profile entrepreneurs launch $85 million fund to back Indian SaaS startups

Four high-profile Indian entrepreneurs who are among those who kickstarted India’s SaaS journey, building and helping startups scale and win customers globally and also backed about 100 such firms, are ready for their next phase of participation in the country’s startup ecosystem.

The group — Girish Mathrubootham of Freshworks, Manav Garg of Eka Corporation, Shubham Gupta, formerly with investment firm Matrix, and Avinash Raghava, formerly with Nasscom, iSPIRT and SaaSBOOMi — said on Wednesday it has created a venture capital fund, called Together Fund, with an initial corpus of $85 million to back young Indian startups operating in the software-as-a-service space.

Together Fund is looking to back between 20 to 25 startups at Pre-seed to Series B stages. The firm’s check size will range between $250,000 to $3 million, said Garg in an interview with TechCrunch.

Indian news outlet the CapTable first reported about the fund’s formation earlier this year and cited an investor who said that Together is likely to attract all good SaaS deals because of its founding team and problem statement.

The fund has amassed a network of over 150 startup founders and investors including Krish Subramanian of Chargebee, Nishith Rastogi of Locus, Shashank ND of Practo, Kunal Shah of CRED. And that underscores the reason why Together Fund was conceived, said Garg. The entire team consists of founders and other operators who have built startups and have expertise around sales strategy and global expansion, he said.

“This is India’s first operator and founder-led fund,” he said. “The idea of creating this fund was to provide great help and opportunities to the founders along with money.”

The creation of the fund — which counts its founding team among its LPs — comes at a time when Indian startups are raising record capital as many high-profile investors double down in the world’s second largest internet market.

In the past decade, India’s startup ecosystem has evolved from a space that most Indian families were apprehensive about to one that has witnessed several high-profile exits and many entrepreneurs have marched ahead to work on their second startups.

“Today, Freshworks is a large company with more than 3,800 team members and offices all over the world. But almost eleven years ago, we were just a six-member team operating out of a small garage in Chennai. I didn’t have a gilt-edged resume or family wealth but that never stopped me from dreaming big,” wrote Mathrubootham in a blog post.

“To me, Together is not just a fund, it is a way to pay it forward to the startup community that gave me so much. It is a natural progression of the “pay it forward” initiatives we started with community programs such as PNGrowth, SaaSx and SaaSBOOMi. With Together, we are not just offering capital to founders, we are offering our time and counsel as well,” he added.

The founding team of Together Fund will continue to participate in other industry initiatives, including SaaSBOOMi, an annual flagship conference focused on SaaS startups in India, said Raghava in an interview.

DealHub raises $20M Series B for its sales platform

DealHub.io, an Austin-based platform that helps businesses manage the entire process of their sales engagements, today announced that it has raised a $20 million Series B funding round. The round was led by Israel Growth Partners, with participation from existing investor Cornerstone Venture Partners. This brings DealHub’s total funding to $24.5 million.

The company describes itself as a ‘revenue amplification’ platform (or ‘RevAmp,’ as DealHub likes to call it) that represents the next generation of existing sales and revenue operations tools. It’s meant to give businesses a more complete view of buyers and their intent, and streamline the sales processes from proposal to pricing quotes, subscription management and (electronic) signatures.

“Yesterday’s siloed sales tools no longer cut it in the new Work from Anywhere era,” said Eyal Elbahary, CEO & Co-founder of DealHub.io. “Sales has undergone the largest disruption it has ever seen. Not only have sales teams needed to adapt to more sophisticated and informed buyers, but remote selling and digital transformation have compelled them to evolve the traditional sales process into a unique human-to-human interaction.”

The platform integrates with virtually all of the standard CRM tools, including Salesforce, Microsoft Dynamics and Freshworks, as well as e-signature platforms like DocuSign.

The company didn’t share any revenue data, but it notes that the new funding round follows “continued multi-year hyper-growth.” In part, the company argues, demand for its platform has been driven by sales teams that need new tools, given that they — for the most part — can’t travel to meet their (potential) customers face-to-face.

Freshworks (re-)launches its CRM service

Freshworks, the customer and employee engagement company that offers a range of products, from call center and customer support software to HR tools and marketing automation services, today announced the launch of its newest product: Freshworks CRM. The new service, which the company built on top of its new Freshworks Neo platform, is meant to give sales and marketing teams all of the tools they need to get a better view of their customers — with a bit of machine learning thrown in for better predictions.

Freshworks CRM is essentially a rebrand of the company’s Freshsales service, combined with the company’s capabilities of its Freshmarketer marketing automation tool.

“Freshworks CRM unites Freshsales and Freshmarketer capabilities into one solution, which leverages an embedded customer data platform for an unprecedented and 360-degree view of the customer throughout their entire journey,” a company spokesperson told me.

The promise here is that this improved CRM solution is able to provide teams with a more complete view of their (potential) customers thanks to the unified view — and aggregated data — that the company’s Neo platform provides.

The company argues that the majority of CRM users quickly become disillusioned with their CRM service of choice — and the reason for that is because the data is poor. That’s where Freshworks thinks it can make a difference.

The idea here is to provide teams with all of their marketing and sales data in a single dashboard and provide AI-assisted insights to them to help drive their decision making, which in turn should lead to a better customer experience — and more sales. The service offers predictive lead scoring and qualification, based on a host of signals users can customize to their needs, as well as Slack and Teams integrations, built-in telephony with call recording to reach out to prospects and more. A lot of these features were already available in Freshsales, too.

“The challenge for online education is the ‘completion rate’. To increase this, we need to understand the ‘Why’ aspect for a student to attend a course and design ‘What’ & ‘How’ to meet the personalized needs of our students so they can achieve their individual goals,” said Mamnoon Hadi Khan, the chief analytics officer at Shaw Academy. “With Freshworks CRM, Shaw Academy can track the entire student customer journey to better engage with them through our dedicated Student Success Managers and leverage AI to personalize their learning experience — meeting their objectives.”

Pricing for Freshworks CRM starts at $29 per user/month and goes up to $125 per user/month for the full enterprise plan with more advanced features.

Stotles secures funding for platform which brings transparency to government tenders, contracts

The public sector usually publishes its business opportunities in the form of ‘tenders,’ to increase transparency to the public. However, this data is scattered, and larger businesses have access to more information, giving them opportunities to grab contracts before official tenders are released. We have seen the controversy around UK government contracts going to a number of private consultants who have questionable prior experience in the issues they are winning contracts on.

And public-to-private sector business makes up 14% of global GDP, and even a 1% improvement could save €20B for taxpayers per year, according to the European Commission .

Stotles is a new UK startup technology that turns fragmented public sector data — such as spending, tenders, contracts, meeting minutes, or news releases — into a clearer view of the market, and extracts relevant early signals about potential opportunities.

It’s now raised a £1.4m seed round led by Speedinvest, with participation from 7Percent Ventures, FJLabs, and high-profile angels including Matt Robinson, co-founder of GoCardless and CEO at Nested; Carlos Gonzalez-Cadenas, COO at Go -Cardless; Charlie Songhurst, former Head of Corporate Strategy at Microsoft; Will Neale, founder of Grabyo; and Akhil Paul. It received a previous investment from Seedcamp last year.

Stotles’ founders say they had “scathing” experiences dealing with public procurement in their previous roles at organizations like Boston Consulting Group and the World Economic Forum.

The private beta has been open for nine months, and is used by companies including UiPath, Freshworks, Rackspace, and Couchbase. With this funding announcement, they’ll be opening up an early access program.

Competitors include: Global Data, Contracts Advance, BIP Solutions, Spend Network/Open Opps, Tussel, TenderLake. However, most of the players out there are focused on tracking cold tenders, or providing contracting data for periodic generic market research.

Freshworks acquires IT orchestration service Flint

Customer engagement company Freshworks today announced that it has acquired Flint, an IT orchestration and cloud management platform based in India. The acquisition will help Freshworks strengthen its Freshservice IT support service by bringing a number of new automation tools to it. Maybe just as importantly, though, it will also bolster Freshworks’ ambitions around cloud management.

Freshworks CPO Prakash Ramamurthy, who joined the company last October, told me that while the company was already looking at expanding its IT services (ITSM) and operations management (ITOM) capabilities before the COVID-19 pandemic hit, having those capabilities has now become even more important given that a lot of these teams are now working remotely.

“If you take ITSM, we allow for customers to create their own workflow for service catalog items and so on and so forth, but we found that there’s a lot of things which were repetitive tasks,” Ramamurthy said. “For example, I lost my password or new employee onboarding, where you need to auto-provision them in the same set of accounts. Flint had integrated with a Freshservice to help automate and orchestrate some of these routine tasks and a lot of customers were using it and there’s a lot of interest in it.”

He noted that while the company was already seeing increased demand for these tools earlier in the year, the pandemic made that need even more obvious. And given that pressing need, Freshworks decided that it would be far easier to acquire an existing company than to build its own solution.

“Even in early January, we felt this was a space where we had to have a time-to-market advantage,” he said. “So acquiring and aggressively integrating it into our product lines seemed to be the most optimal thing to do than take our time to build it — and we are super fortunate that we made placed the right bet because of what has happened since then.”

The acquisition helps Freshworks build out some of its existing services, but Ramamurthy also stressed that it will really help the company build out its operations management capabilities to go from alert management to also automatically solving common IT issues. “We feel there’s natural synergy and [Flint’s] orchestration solution and their connectors come in super handy because they have connectors to all the modern SaaS applications and the top five cloud providers and so on.”

But Flint’s technology will also help Freshworks build out its ability to help its users manage workloads across multiple clouds, an area where it is going to compete with a number of startups and incumbents. Since the company decided that it wants to play in this field, an acquisition also made a lot of sense given how long it would take to build out expertise in this area, too.

“Cloud management is a natural progression for our product line,” Ramamurthy noted. “As more and more customers have a multi-cloud strategy, we want to you give them a single pane of glass for all the work workloads they’re running. And if they wanted to do cost optimization, if you want to build on top of that, we need the basic plumbing to be able to do discovery which is kind of foundational for that.”

Freshworks will integrate Flint’s tools into Freshservice and like offer it as part of its existing tiered pricing structure, with service orchestration likely being the first new capability it will offer.
